KBC: Resolution of Annual General Meeting 2013
Kinh Bac City Development Share Holding Corporation announced the resolution of Annual General Meeting 2013 dated June 14, 2013 as follows:
Article 1: AGM approved the report of the Board of Directors in 2012 and the business plan for 2013.
Article 2: AGM approved the profit and loss in 2012 and the business plan for 2013:
- Business plan for 2013:
+ Total revenue: VND979billion
+ Total profit after tax: VND68 billion
Article 3: AGM approved the report of the Board of Supervisors in 2012.
Article 4: AGM approved the consolidated financial statements in 2012 and the financial statements in 2012 of parent company, which were audited by Ernst & Young.
Article 5: AGM authorized the Board of Directors to set plans for stock split.
Article 6: AGM approved to choose an auditing company: the Meeting authorized the Board of Directors to choose one of three companies in the list of independent auditing companies below:
+ AISC
+ E&Y
+ KPGM
- If the Company can not negotiate with auditing company about the rate of progress and the auditing fee, the Meeting will authorize the Board of Directors to choose one of remaining companies in the list of independent auditing companies by the SSC for approval.
Article 7: Amending the company’s regulation.
Article 8: AGM approved Mr. Huynh Phat replaced Mr. Chung Tri Phong as a member of the BOD in the term 2012-2017.
Article 9: AGM approved Ms. Nguyen Thi Thu Huong as CEO.
Article 10: AGM authorized the Board of Directors to buy treasury stock
Article 11: This resolution takes effect from June 14, 2013.
